1. Scope of Services
All services provided by JH Strategic IT are advisory in nature and delivered based on mutually agreed scopes of work. Any service engagement must be confirmed in writing via a signed agreement or statement of work (SOW).

2. Payment Terms
Unless otherwise agreed:

Invoices are due within 15 days of issue.

Late payments may be subject to a 1.5% monthly interest fee.

Project-based fees, retainers, or session bookings may require partial or full prepayment.

3. Confidentiality
JH Strategic IT agrees to maintain strict confidentiality regarding all proprietary business, financial, or technical information shared during the course of the engagement. Clients are also expected to treat methodologies, assessments, and strategic deliverables as confidential unless explicitly released.

4. Intellectual Property
All materials, reports, or strategic assessments created by JH Strategic IT remain the intellectual property of JH Strategic IT unless otherwise agreed in writing. Clients receive a license to use deliverables for internal business purposes only.

5. Cancellation & Rescheduling
Consulting sessions or meetings canceled with less than 24 hours' notice may be subject to a cancellation fee of 50% of the session cost, unless otherwise waived.

6. Limitation of Liability
Advice and recommendations are made in good faith based on available information. JH Strategic IT shall not be liable for any indirect, incidental, or consequential damages arising from the use of its consulting services.

7. Governing Law
These terms are governed by the laws of the state of [Your State], without regard to its conflict of law provisions.
