1. AGREEMENT OVERVIEW

 

These Terms and Conditions ("Agreement") govern the provision of executive coaching services by Jayson Hahn through Intelligent Solutions, LLC ("Coach," "we," "us") to the client ("Client," "you"). By engaging our services or making payment, you agree to be bound by these terms.

 

2. SERVICES PROVIDED

  • Executive Coaching Services Include: One-on-one executive coaching sessions

  • Strategic leadership development programs

  • Executive presence and communication training

  • Leadership assessment and 360° feedback

  • Custom frameworks and strategic tools

  • Email support between sessions

  • Emergency consultation calls (as specified in program)

 

Services DO NOT Include:

  • Therapy, counseling, or psychological treatment

  • Medical advice or treatment

  • Legal, financial, or tax advice

  • Management consulting services

  • Job placement or recruitment services

  • Guaranteed career outcomes or promotions

 

3. PROFESSIONAL DISCLAIMERS

Nature of Coaching Services

Executive coaching is a collaborative partnership designed to help clients achieve professional goals and enhance leadership effectiveness. Coaching is not therapy, counseling, or psychological treatment and should not be used as a substitute for professional mental health care, medical treatment, or other licensed professional services.

No Guarantees

While we are committed to providing high-quality coaching services, we make no guarantees about specific outcomes, results, or career advancement. Success depends on many factors including client commitment, market conditions, organizational dynamics, and individual circumstances beyond our control.

 

Client Responsibility

Clients are fully responsible for their decisions, actions, and the implementation of any guidance or strategies discussed during coaching sessions. The Coach serves as a facilitator and advisor but does not make decisions for the Client.

 

4. PROGRAM TERMS AND SCHEDULING

 

Session Scheduling

  • Sessions are scheduled by mutual agreement between Coach and Client

  • Standard sessions are 90 minutes unless otherwise specified

  • Sessions may be conducted via video conference, phone, or in-person by arrangement

 

Rescheduling Policy

  • Sessions may be rescheduled with at least 24 hours advance notice

  • Rescheduling requests with less than 24 hours notice may result in session forfeiture

  • Emergency rescheduling will be accommodated when possible at Coach's discretion

Session Expiration

All sessions included in a program must be used within the specified program duration

  • 6-month programs: All sessions must be completed within 6 months of start date

  • 3-month programs: All sessions must be completed within 3 months of start date

  • Unused sessions do not carry forward and are non-refundable

 

5. PAYMENT TERMS

 

Fees and Payment Schedule

 

  • Program fees are as specified in the individual coaching agreement

  • Payment is due in advance via the methods specified (Stripe, ACH, or other approved methods)

  • Monthly payment plans (If Offered) require automatic billing authorization

  • Late payments may incur fees of 1.5% per month or the maximum allowed by law

 

Refund Policy

 

30-Day Milestone Guarantee:

 

After the first 30 days (2 sessions plus initial deliverables), if you don't believe this is the highest-leverage investment you can make in your career, you may exit with a 50% refund of your total investment.

 

Non-Refundable Items:

  • Completed coaching sessions

  • Delivered assessments and frameworks

  • Custom materials already provided

  • Sessions missed without proper notice

 

Refund Process:

  • Refund requests must be submitted in writing

  • Refunds will be processed within 30 business days of approval

  • Refunds will be issued via the original payment method

 

6. CONFIDENTIALITY

 

Coach Commitment

 

We maintain strict confidentiality regarding all information shared during coaching sessions, except as required by law or professional ethics guidelines.

 

Legal Exceptions

 

Confidentiality may be breached only in cases of:

  • Legal compulsion (subpoena, court order)

  • Risk of harm to self or others

  • Suspected abuse or neglect of minors or vulnerable adults

  • Professional supervision and consultation (with anonymized information)

 

Client Confidentiality

 

Clients agree not to share proprietary coaching materials, methodologies, or confidential business information about the Coach's practice.

 

7. INTELLECTUAL PROPERTY

 

Coach's Materials

 

All coaching materials, frameworks, assessments, and methodologies provided remain the intellectual property of Jayson Hahn/Intelligent Solutions, LLC

 

Permitted Use

 

Clients may use provided materials for personal professional development only and may not:

  • Reproduce or distribute materials without written permission

  • Use materials for commercial purposes

  • Share materials with third parties

  • Reverse engineer or copy proprietary methodologies

Client-Generated Content

 

Any materials, insights, or frameworks developed collaboratively during sessions may be used by both parties for their respective professional purposes.

 

8. LIMITATION OF LIABILITY

 

Liability Cap

 

In no event shall the Coach's total liability exceed the amount paid by the Client for the specific coaching program giving rise to the claim.

 

Excluded Damages

 

The Coach shall not be liable for:

 

  • Indirect, incidental, or consequential damages

  • Lost profits or business opportunities

  • Career advancement outcomes

  • Third-party actions or decisions

  • Results of Client's business or personal decisions

 

Client Acknowledgment

 

Client acknowledges that coaching involves risk and uncertainty, and that outcomes depend on factors beyond the Coach's control.

 

9. TERMINATION

 

Termination by Client

Client may terminate with written notice after the initial 30-day period

  • Refunds governed by the refund policy above

  • All confidentiality and intellectual property provisions survive termination

 

Termination by Coach

 

Coach reserves the right to terminate the coaching relationship with 30 days written notice for:

  • Non-payment of fees

  • Violation of these terms

  • Behavior inconsistent with professional coaching relationship

  • Circumstances requiring services beyond coaching scope

 

Effect of Termination

Upon termination:

 

  • All outstanding fees become immediately due

  • Scheduled sessions are canceled

  • Confidentiality obligations continue

  • Client must cease use of proprietary materials

10. PROFESSIONAL STANDARDS

 

Ethical Guidelines

 

Services are provided in accordance with professional coaching standards and ethical guidelines.

 

Scope of Practice

 

Coach operates within the defined scope of executive coaching and refers clients to appropriate licensed professionals when needs exceed this scope.

 

11. DISPUTE RESOLUTION

 

Governing Law

 

This Agreement is governed by the laws of New Jersey, United States.

 

Dispute Process

 

  • Direct Discussion: Parties agree to first attempt resolution through direct communication

  • Mediation: Unresolved disputes will be submitted to mediation

  • Arbitration: If mediation fails, disputes will be resolved through binding arbitration

  • Venue: All proceedings will take place in New Jersey

 

Class Action Waiver

Client waives the right to participate in class action lawsuits against Coach.

 

12. GENERAL PROVISIONS

 

Force Majeure

 

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control (natural disasters, pandemics, government actions, etc.).

 

Entire Agreement

 

This Agreement constitutes the entire agreement between parties and supersedes all prior negotiations, representations, or agreements.

Amendments

Changes to this Agreement must be in writing and signed by both parties.

 

Severability

If any provision is found unenforceable, the remainder of the Agreement remains in full force.

 

Assignment

This Agreement may not be assigned without written consent of both parties.
